These Terms of Service ("Terms") govern your access to and use of the website, AI agent, dashboard and related services (the "Service") provided by SERVITI AI (OPC) PVT LTD ("Serviti", "we", "us"), a company registered in India. By accessing the Service or booking a demo, you agree to these Terms.

These Terms apply to customers in India and, where applicable, customers outside India. Country-specific provisions are called out in Sections 6, 13, and 14 below.

1. The Service

Serviti provides a multi-tenant AI agent platform that helps businesses capture, qualify and follow up on enquiries across channels such as website chat, WhatsApp, QR codes and ads. Features and limits depend on the plan you select.

2. Accounts & eligibility

• You must provide accurate information and keep your account credentials secure.
• You are responsible for all activity under your account.
• You must be authorised to act on behalf of the business you register.

3. Acceptable use

You agree not to use the Service to:

• Break the law or infringe others' rights
• Send spam, unsolicited bulk messaging, or content that violates platform or messaging-provider (including WhatsApp/Meta) policies
• Upload unlawful, harmful, or rights-infringing content, or content you are not permitted to use
• Attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service

4. Customer content & knowledge base

You retain ownership of the content you upload to train your agent. You grant Serviti a limited licence to host and process that content solely to provide the Service. You are responsible for ensuring you have the rights and consents needed for the content and for the enquiries your agent collects.

4A. AI Agent & Customer Data Terms

When you configure or publish a Serviti AI agent for your business, you agree to the following additional terms:

• Authority over content. You must have the right to upload and use the website pages, documents, instructions, branding and other material supplied to the agent.
• Responsibility for visitor data. Your business decides why customer enquiries and lead details are collected. You are responsible for giving visitors any privacy notice and obtaining any consent required by applicable law.
• Data minimisation. Configure the agent to collect only information reasonably needed to answer, qualify or follow up on an enquiry. Do not ask visitors to submit passwords, complete payment-card details, government identification numbers, or sensitive health or financial information unless that collection is lawful and separately agreed with Serviti.
• AI limitations. AI-generated answers can be incomplete or wrong. You must review your source content, test important answers and maintain appropriate human oversight. The agent must not be presented as a substitute for professional medical, legal, tax, financial or emergency advice.
• Human decisions. Do not use an agent response as the sole basis for a decision that has a legal or similarly significant effect on a person. Route consequential decisions to an authorised human.
• Serviti as processor. For leads, conversations and customer content processed on your behalf, your business acts as the Data Fiduciary or controller and Serviti acts as its processor, as further described in our Privacy Policy and any applicable Data Processing Agreement.
• Disclosure and handoff. Where required by law, tell visitors that they are interacting with AI and provide a reasonable route to a human for requests the agent should not handle.

5. Usage limits & fair use

Each plan includes stated allowances for AI answers and other capacities such as agents, knowledge pages, users and notification destinations. The limits that apply to you are shown on our pricing page, in your order and in your account. Add-ons or documented account-specific limits may change those allowances. We may apply reasonable technical limits to protect the Service and prevent abuse.

6. Plans, fees & trials

• Fees are described on our pricing page or in your order.
• Indian customers are charged in Indian Rupees (INR). Any applicable taxes (e.g. GST) are added at checkout and shown in the total before you pay; where no tax applies, the published price is the amount charged.
• Customers outside India are charged in US Dollars (USD) or another supported currency shown at checkout. Applicable taxes, VAT, or sales tax (where required) may be added, or invoiced net-of-tax with the customer responsible for their own local tax filings — the applicable treatment is stated at checkout.
• Online payments are handled by the third-party payment provider shown at checkout (for example, Razorpay). Payment-card details are collected by that provider; Serviti does not store complete card numbers.
• Trials run for the stated period and may convert to a paid plan or lapse, as described at sign-up.
• Unless stated otherwise, fees are non-refundable for periods already served. Accidental duplicate charges may be refunded within 24 hours on request.

7. Third-party services

The Service relies on third parties (e.g. Microsoft Azure, messaging and email providers, WhatsApp/Meta). Your use may be subject to their terms, and their availability is outside our control.

8. Availability

We work to keep the Service available and reliable but do not guarantee uninterrupted operation. We may modify, suspend or discontinue features with reasonable notice where practical.

9. Intellectual property

The Service, including its software, design and brand, is owned by Serviti and protected by law. These Terms do not transfer any Serviti intellectual property to you beyond the limited right to use the Service.

10. Disclaimers

The Service is provided "as is" and "as available". AI-generated responses may contain errors; you are responsible for reviewing outputs before relying on them. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, Serviti will not be liable for indirect, incidental, special or consequential damages, or loss of profits, data or goodwill. Our total liability for any claim arising from the Service is limited to the fees you paid for the Service in the three months preceding the claim.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, your right to use the Service ends; certain provisions (e.g. content licence limits, disclaimers, liability) survive.

13. Governing law & dispute resolution

Customers in India. These Terms are governed by the laws of India, and the courts at Hyderabad, Telangana shall have exclusive jurisdiction, subject to applicable law.

Customers outside India. Where either party is domiciled outside India, these Terms remain governed by the laws of India, but any dispute arising out of or in connection with these Terms shall be resolved by binding arbitration seated in Singapore, administered under the arbitration rules of the Singapore International Arbitration Centre (SIAC) in force at the time. The arbitration shall be conducted in English by a sole arbitrator. Nothing in this clause prevents either party from seeking urgent injunctive relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or personal data.

14. Country-specific notices

European Economic Area, United Kingdom, and Switzerland. If you are a data controller established in the EEA, UK, or Switzerland and Serviti processes personal data on your behalf, our processing is subject to the Data Processing Agreement (DPA) referenced in our Privacy Policy. A signed DPA is available on request at [email protected]. We rely on Standard Contractual Clauses (SCCs) or equivalent safeguards for personal data transferred from the EEA/UK to India.

California, USA. California residents have the rights described in our Privacy Policy under the California Consumer Privacy Act (CCPA/CPRA), including the right to know, delete, correct, opt out of sale or sharing (Serviti does not sell personal data), and non-discrimination for exercising these rights.

Australia, Canada, Singapore, and other jurisdictions. Local data protection laws apply in parallel with these Terms and our Privacy Policy. Where local law grants a customer or end-user a right not expressly stated here, that right applies to the extent required by law.
